Two-tier Tender Offer

in the United States, a takeover bid in which the acquirer offers to pay more for shares bought early than for those acquired at a later date, in order to encourage stockholders to accept the offer, thus gaining control quickly. This form of bidding is outlawed in some jurisdictions, including the United Kingdom.
