Letter Security

in the United States, a security that has not been registered with the SEC but can be sold privately if the buyer signs a letter of intent stating that the security is for investment, not resale, or can be traded publicly if the owner files a Form 144 with the SEC showing that the sale meets conditions that exempts it from registration with the SEC
